Share Conversions. At the Effective Time, by virtue of the Merger and without any action on the part of the holder of any of the Shares of DigiCourse: (a) COMMON STOCK OF I/O MARINE. The Merger will automatically convert each share of common stock of I/O Marine into one share of common stock of DigiCourse.
