Share Amount Adjustment. In the event any breach or inaccuracy of the representation contained in Section 3.1(g), in lieu of the indemnification provisions, the Company shall issue to SMGI that number of additional shares of Series A Preferred Stock necessary for SMGI to beneficially own 95% of the outstanding voting securities of the Company on a fully diluted basis as of the Closing Date.
