Severance and Severability Clause Samples

The Severance and Severability clause ensures that if any part of a contract is found to be invalid, illegal, or unenforceable, the remainder of the agreement will still remain in effect. In practice, this means that if a specific provision is struck down by a court or regulatory body, the rest of the contract is not automatically voided; instead, only the problematic section is removed or modified as necessary. This clause is essential for maintaining the integrity and enforceability of the contract as a whole, preventing the entire agreement from failing due to one problematic provision.

Severance and Severability. The illegality, invalidity or unenforceability of a provision of this AGREEMENT under the law of any jurisdiction does not affect: (a) the legality, validity or enforceability of any other provision of this AGREEMENT in that jurisdiction; or (b) the legality, validity or enforceability of that or any other provision of this AGREEMENT under the law of any other jurisdiction. Should one or more provisions of this AGREEMENT be or become invalid, the Parties shall substitute, by mutual consent, valid provisions for such invalid provisions which valid provisions in their economic effect are sufficiently similar to the invalid provisions that it can be reasonably assumed that the Parties would have entered into this AGREEMENT with such provisions. In case such provisions cannot be agreed upon, the invalidity of one or several provisions of this AGREEMENT shall not affect the validity of this AGREEMENT as a whole.
