Severability, Conflicts, Etc Sample Clauses
The Severability, Conflicts, Etc clause ensures that if any part of the contract is found to be invalid, illegal, or unenforceable, the remainder of the agreement will still be effective and enforceable. Typically, this clause also addresses what happens if there are conflicting provisions within the contract or between the contract and applicable law, often specifying that the rest of the contract should be interpreted to best reflect the parties' intentions. Its core function is to preserve the validity and enforceability of the agreement as a whole, even if specific provisions are problematic, thereby minimizing disruption and legal uncertainty.
Severability, Conflicts, Etc. Any provision of any Credit Document which is prohibited or unenforceable in any jurisdiction shall, as to such jurisdiction, be ineffective to the extent of such prohibition or unenforceability without invalidating the remaining provisions hereof or affecting the validity or enforceability of such provision in any other jurisdiction. It is the intention of the parties to this Agreement that if any provision of any Credit Document is capable of two constructions, one of which would render the provision void and the other of which would render the provision valid, the provision shall have the meaning which renders it valid.
