Settlement Amount Allocation. The Parties agree that the Settlement Amount will be allocated as follows, subject to Court approval, and the District will not in any way contest such allocation and awards by the Court: a. $300,000.00 for the Class Representative Award for payments to the Class Representatives of $50,000 each in settlement of their claims and as an incentive payment in consideration of their services as Class Representatives. b. $438,714.83 for Base Litigation Expenses. i.) $428,714.83 of the Litigation Expenses (the Tritura Payment) is payable to Tritura Information Governance LLC (Tritura) for discovery and data analysis services performed on behalf of the Class Members. $142,904.94 of the Tritura Payment shall be waived and donated to the SCM Fund for distribution to SCMs (Tritura SCM Fund Donation). However, if any of the SCM Fund remains after all payments and distributions have been made to the SCMs according to the Distribution Plan, the remainder, up to the amount of the Tritura SCM Fund Donation, will revert to Tritura and shall be paid by the Class Administrator to Tritura prior to any reversion of funds to the District pursuant to Paragraph 56 of this Settlement Agreement;

  • Final Payment A. Upon final completion and acceptance of the Work in accordance with Paragraph 15.06 of the General Conditions, Owner shall pay the remainder of the Contract Price as recommended by Engineer as provided in said Paragraph 15.06.

  • CONTRACT PRICE a. The Contractor shall provide the Contractor Deliverables to the Authority at the Contract Price.   • Payments From and after the Effective Date, the Administrative Agent shall make all payments in respect of the Assigned Interest (including payments of principal, interest, fees and other amounts) to the Assignor for amounts which have accrued to but excluding the Effective Date and to the Assignee for amounts which have accrued from and after the Effective Date.

  • Liquidated Damages The Company’s obligations to pay any partial liquidated damages or other amounts owing under the Transaction Documents is a continuing obligation of the Company and shall not terminate until all unpaid partial liquidated damages and other amounts have been paid notwithstanding the fact that the instrument or security pursuant to which such partial liquidated damages or other amounts are due and payable shall have been canceled.

  • Payment Terms DXC agrees to pay Supplier the undisputed amount of an invoice within ninety (90) days after the receipt of a valid, complete and properly documented invoice. Any prompt payment discount will be calculated from the date a conforming invoice is received by DXC. Payment will be in U.S. currency unless otherwise stated. Payment will not constitute acceptance of Products and/or Services or impair DXC’s right to inspect. Acceptance shall be when DXC deems the Products and/or Services to meet its specified criteria (“Acceptance”). DXC, at its option, and without prior notice to Supplier, shall have the right to set off or deduct from any Supplier’s invoice, any credits, refunds or claims of any kind due DXC.
