Common use of Servicing Programs Clause in Contracts

Servicing Programs. In the event that the Servicer uses any software program in servicing the Collateral that it licenses from a third party, the Servicer shall use its best reasonable efforts to obtain, either before the Closing Date or as soon as possible thereafter, whatever licenses or approvals are necessary to allow the Administrative Agent or the Backup Servicer to use such program.

Servicing Programs. In the event that the Servicer uses any software program in servicing the Collateral that it licenses from a third party, the Servicer shall use its best reasonable efforts to obtain, either before the Closing Date or as soon as possible thereafter, whatever licenses or approvals are necessary to allow the Administrative Agent or the Backup Servicer to use such program.

Servicing Programs. In the event that the Servicer uses any software program in servicing the Collateral Portfolio that it licenses from a third party, the Servicer shall use its best reasonable efforts to obtain, either before the Closing Date or as soon as possible thereafter, whatever licenses or approvals are necessary to allow the Administrative Agent or the Backup Servicer to use such programprogram and to allow the Servicer to assign such licenses to Xxxxx Fargo or to any other Replacement Servicer appointed as provided in this Agreement.

In the event that the initial Servicer uses any software program in servicing the Collateral that it licenses from a third party, the initial Servicer shall use its best commercially reasonable efforts to obtain, either before the Closing Date or as soon as possible thereafter, whatever licenses or approvals are necessary to allow the Administrative Agent or and the Backup Servicer to use such programprogram and to allow the initial Servicer to assign such licenses to the Backup Servicer or to any other Successor Servicer appointed as provided in this Agreement.

In the event that the Servicer uses any software program in servicing the Collateral that it licenses from a third partyparty (other than “off-the-shelf” software), the Servicer shall use its best reasonable efforts to obtain, either before the Closing Date or as soon as possible thereafter, whatever licenses or approvals are necessary to allow the Administrative Agent or Servicer to assign such licenses to the Backup Servicer or to use such programany other Successor Servicer appointed as provided in this Agreement.

In the event that the Servicer uses any software program in servicing the Collateral that it licenses from a third party, the Servicer shall use its best 106 reasonable efforts to obtain, either before the Closing Date or as soon as possible thereafter, whatever licenses or approvals are necessary to allow the Administrative Agent or the Backup Servicer to use such program.

In the event that the Servicer uses any software program in servicing the Collateral that it licenses from a third party, the Servicer shall use its best reasonable efforts to obtain, either before the Closing Date or as soon as possible thereafter, whatever licenses or approvals are necessary to allow the Servicer (or, solely in the case of a Servicer Default, the Administrative Agent or the Backup Servicer Agent) to use such programprogram and to allow the Servicer to assign such licenses to the Successor Servicer appointed as provided in this Agreement.

In the event that the Servicer uses any software program in servicing the Collateral Assets that it licenses from a third party, the Servicer shall use its best reasonable efforts to obtain, either before the Closing Date or as soon as possible thereafter, whatever licenses or approvals are necessary to allow the Administrative Agent or any applicable successor Servicer (including the Backup Servicer Servicer) to use such program.
