Servicing File Clause Samples
Servicing File. The Seller, in its capacity as Master Servicer, shall retain the Servicing File on behalf of the Purchaser with respect to each Qualified Loan sold to the Purchaser pursuant to this Master Agreement. The Seller acknowledges and understands that ownership of each document in a Servicing File is vested in the Purchaser. The Master Servicer shall not take any action inconsistent with such ownership. The Master Servicer (as the originator of the Qualified Loans) agrees to indicate on its books and records at each Sale Date that the Qualified Loans sold pursuant to Section 2.02 on such Sale Date have been sold to the Purchaser, and to advise all inquiring parties that such Qualified Loans have been sold to the Purchaser. The Seller shall, upon three (3) Business Days’ prior written request provide Purchaser or its designee with reasonable access, during normal business hours and at the office of the Seller, to the Servicing File regarding any and all Qualified Loans sold to the Purchaser pursuant to this Master Agreement. The Master Servicer shall maintain the Servicing File for a Qualified Loan for three years from either (i) the date that all principal and interest due on the Qualified Loan is paid in full or (ii) in the case of REO Property, the date of the sale of the collateral securing the Qualified Loan.
Servicing File. If the Seller has not already done so, the Seller shall have forwarded a complete Servicing File with respect to each Mortgage Loan;
Servicing File. As to each Mortgage Loan, the copies of the Collateral Documents, as well as the credit and closing packages, disclosures, copies of the all other files, books, records and documents necessary to (a) establish the eligibility of the Mortgage Loan for insurance by a Qualified Insurer, if any; and/or (b) service the Mortgage Loan in accordance with Acceptable Servicing Procedures, including the documents listed on Exhibit B hereto, some of which maybe held by the Custodian.
Servicing File. With respect to each Revolving Credit Loan, the Servicer is in possession of a complete Servicing File; No Default. Neither the Servicer nor any of its subsidiaries is in material default under any agreement, contract, instrument or indenture of any nature whatsoever to which the Servicer or any of its subsidiaries is a party or by which it is bound nor has any event occurred which with notice or lapse of time or both would constitute a material default under any such agreement, contract, instrument or indenture and which default would have a material adverse effect on its ability to perform its obligations under this Agreement;
Servicing File. Servicer shall maintain each Servicing File with respect to the Bank Loans.
Servicing File. The documents, files and other items pertaining to a particular Mortgage Loan including, but not limited to, the computer files, data disks, books, records, data tapes, notes, and all additional documents generated as a result of, utilized in originating and/or servicing each Mortgage Loan.
Servicing File. If the Sub-Servicer shall hold any original documents and records delivered to it pursuant to this clause (d) then the Sub-Servicer shall deliver copies thereof to the Master Servicer.
Servicing File. The documents, files and other items pertaining to a particular Mortgage Loan which, at a minimum, shall include the items listed in Exhibit G, and the information relating to such Mortgage Loan contained in any electronic data format by the Seller to the Purchaser in accordance with the EDP File Format attached hereto as Exhibit J.
