The 'Servicing Documents' clause defines the requirements and procedures for the creation, maintenance, and delivery of documents related to the servicing of a loan or financial asset. Servicing Documents. The Administrator shall cause the duties and responsibilities of the Issuer under each of the Student Loans and the Servicing Documents to be performed, including but not limited to the duties set forth below. The Administrator shall advise the Issuer when action by the Issuer is necessary to comply with the Issuer's obligations under the Student Loans and the Servicing Documents. The Administrator shall prepare for execution, if required, by the Issuer or shall cause the preparation by other appropriate persons of all such documents, reports, filings, instruments, certificates and opinions as it shall be the duty of the Issuer to prepare, file or deliver pursuant to the Student Loans and the Servicing Documents. In furtherance of the foregoing, the Administrator shall take all appropriate action, including but not limited to the following:
a. pursuant to the Servicing Agreements, providing to each Servicer (or such Servicer's bailee) from time to time, as necessary, and requiring that each Servicer (or such Servicer's bailee) maintain physical custody and possession of, documentation and information relating to Student Loans transferred to the Issuer pursuant to the Transfer Agreement and, on and after each applicable date on which Student Loans are to be purchased (the "Loan Purchase Date"), Student Loans sold and transferred to the Issuer on each such Loan Purchase Date, including the documents evidencing such Student Loans and such additional documentation or information relating to such Student Loans as is reasonably required for the Student Loans to be properly serviced by such Servicer;
b. cause to be paid solely from Indenture assets, all amounts to be paid by the Issuer pursuant to the Transfer Agreement;
c. promptly after each Loan Purchase Date, ensuring that notification as required under the Higher Education Act and by the applicable Guarantee Agencies is made to the
Servicing Documents. The Seller and the Depositor shall have furnished to the Agent and the Indenture Trustee: (i) with respect to each Securitization Trust (in any case, to the extent listed on Schedules I through III of the Indenture as of the date hereof) other than any Subserviced Securitization Trust, the related Servicing Contracts and all material amendments and waivers thereto; (ii) with respect to each Subserviced Securitization Trust, the Subservicing Agreement; (iii) with respect to each Subserviced Securitization Trust, a copy of a power of attorney (in form and substance reasonably satisfactory to the Agent) provided by the MSR Sellers to Nationstar permitting Nationstar to act in the name of the MSR Sellers to recover any Delinquency Advance or Servicing Advance, including from any Securitization Trustee or successor servicer; and (iv) a certification that each Mortgagor has been instructed to remit all payments payable by such Mortgagor pursuant to the related Mortgage Loan to a blocked account controlled by Nationstar.
Servicing Documents. The Administrative Agent shall have received evidence satisfactory to it that documentation and other actions relating to the Initial Portfolio Railcars (and the Leases relating thereto, and payments in respect of the foregoing) have been entered into or taken, as applicable, as contemplated under the Servicing Documents as necessary, advisable or customary to establish and protect the Borrower’s and the Collateral Agent’s interests in such Railcars, Leases and payments.
Servicing Documents. Receipt by the Agent of a duly executed copy of each Servicing Document, in each case in form and substance satisfactory to the Agent in its sole discretion.

The Seller and the Depositor shall have furnished to the Agent and the Indenture Trustee (i) with respect to each Securitization Trust listed on a schedule to the Indenture on the date hereof, each of the Servicing Contracts and all material amendments and waivers thereto, (ii) with respect to each Subserviced Securitization Trust, (1) the Subservicing Agreement, and (2) a copy of a power of attorney (in form and substance reasonably satisfactory to the Agent) provided by the MSR Sellers to Nationstar permitting Nationstar to act in the name of the MSR Sellers to recover any Delinquency Advance, Servicing Advance or Legacy Deferred Servicing Fee from the related Securitization Trustee or successor servicer and (iii) a certification that each Mortgagor has been instructed to remit all payments payable by such Mortgage pursuant to the related Mortgage Loan to a blocked account controlled by Nationstar.
