Services Modifications. The Services to be provided shall not be modified or changed without the written permission to a change signed by the parties to the MSAAS Agreement.

Services Modifications. Roots Softwares reserves the right from time to time, without obligation or liability to Company of any kind, to update, modify or change the rootsHCM Platform, the WorkSuite and/or rootsHCM Materials. Roots Softwares will use reasonable efforts to provide Company with notice of any material changes in accordance with the general notice it provides to its users of such changes.

Services Modifications. (a) The scope of work, project costs, and billing details associated with the services provided by BEspoke are set forth in one or more mutually agreed to and executed written statements of work (each a “Statement of Work”)(the services described in the applicable Statement of Work called the “Services” in this Agreement). Each Statement of Work shall be incorporated herein and made a part of and subject to this Agreement. In the event of a conflict of ambiguity between any term of this Agreement and a Statement of Work that is not expressly contemplated by this Agreement, the terms of this Agreement shall govern.

Services Modifications. The re-performance of the services, or if Voxware is unable to perform the services as warranted, Customer shall be entitled to recover the Fees paid for any specific services or modifications delivered to specific Designated Site for up to ninety (90) days from the date Voxware was initially notified of the errors.

Services Modifications i) Any revisions to Exhibit C (i.e. service types, description change, price decrease etc.) must be pre-approved by the State, and will be allowed once per calendar quarter. ii) Service modifications are required to be submitted to the contact identified in §17 of the main body of this Contract, between the first (1st) and tenth (10th) day of the new quarter starting period, and shall go into effect upon approval by the State. iii) Service modifications that are submitted after the tenth (10th) day of the new quarter starting period, will not be reviewed and/or approved until the following quarter.

Services Modifications. While Funding Societies use reasonable efforts to keep the Services operational, Funding Societies reserves the right to change our Services offerings and its availability from time to time without notice or liability to you due to technical difficulties, maintenance, repairs, testing, and updates.

Services Modifications. To the extent to which an Addendum includes Services, Google may make commercially reasonable changes to the Services from time to time. If Google makes a material change to the Services, Google will inform Customer either via a TSS portal or using the email address Customer has provided to Google in order to be notified of such changes.

Services Modifications. (a) If the Service Receiving Party reasonably determines that additional transition services not listed in Exhibit A are necessary after the Effective Time or that certain services are no longer required, the Service Receiving Party shall provide written notice of the change to the Service Providing Party and the Separation Oversight Committee requesting the Service Providing Party: (i) to provide additional (including as to volume, amount, level or frequency, as applicable) or different services that the Service Providing Party is not expressly obligated to provide under this Agreement, if such services are of the type and scope provided by any member of the Service Providing Party Group (including any employee of any member of the Service Providing Party Group) for the Service Receiving Party prior to the Effective Time, or to expand the scope of any applicable Service (such additional, different or expanded services being referred to as the “Additional Services”) or (ii) to delete from the applicable Exhibit, and to cease all work on, one or more Services that is no longer required (such deleted services being referred to as “Terminated Services”) in accordance with the proviso to Section 7.1(a). No request for modification of an Exhibit will be effective unless approved or acknowledged in writing by the Separation Oversight Committee. Modifications include any renewal, change order or other amendment of a procurement contract related to the transition services that requires payment in excess of the amount set forth in the original budget for such transition service. (b) The Service Providing Party shall notify the Separation Oversight Committee within ten (10) calendar days of receipt of a request by a Service Receiving Party for Additional Services under Section 2.2(a) as to whether it can or cannot provide the Additional Services or needs additional time for such determination. In providing its response to the Separation Oversight Committee, to the extent the Additional Service is consistent with those services provided immediately prior to the Effective Date, the Service Providing Party shall consider such request in good faith and shall use commercially reasonable efforts to provide any such Additional Service; provided that no member of the Service Providing Party Group shall be obligated to perform any Additional Services if such member, in its reasonable judgment, does not have adequate resources to perform such Additional Services; or if the pr...
