Services Framework. 3.1.1 Merchant will utilize the Services. Merchant shall have all required contact and other identifying information on its website for purposes of informing End-User Customers of complaint, warranty and refund rights. 3.1.2 As part of performing Services under this Agreement, BlueSnap may conduct fraud checks. Merchant acknowledges and agrees that such fraud checks may delay transactions and payment collection from End-User Customers. In the event an End-User Customer seeks to cancel an order due to such delay, BlueSnap will not be liable to the Merchant for such cancellation. 3.1.3 Merchant accepts that the BlueSnap Services are limited for use by Merchant and may not be resold, shared or offered to third parties. 3.1.4 ▇▇▇▇▇▇▇▇ agrees and declares that it is contracting with BlueSnap in the course of a business and not as a consumer.
Services Framework. This Agreement is intended to serve as the framework for entering into separate Statements of Work. Unless otherwise agreed by the parties, all Statements of Work that are entered into under this Agreement shall be governed by the terms of this Agreement and are hereby made part of and incorporated into this Agreement when executed by duly authorized individuals. In the event of a conflict between this Agreement and a Statement of Work, the terms of the Statement of Work shall prevail solely with respect to such Statement of Work. GMS shall provide the Services in accordance with this Agreement, including each applicable Statement of Work. GMS Affiliates are permitted to execute SOWs independent of GMS under this Agreement. The GMS Affiliate that executes an SOW with Client shall be considered “GMS” for all purposes of such SOW and shall assume all obligations thereof; and the SOW shall be considered a two party agreement between Client and such GMS Affiliate.
Services Framework. 2.1 The purpose of this Agreement is to: i. provide a mechanism whereby the Parties may enter into Work Packages; ii. provide the framework to administer each Work Package; iii. and set out the obligations of the Parties. 2.2 The Services that may be requested by EDC and provided by the Supplier are of the type described in Schedule “A” or as more particularly described in each Work Package. EDC’s requirements may vary, and this Agreement shall not place EDC under any obligation to procure the Services from the Supplier at a particular time or at all. This Agreement is not an exclusive arrangement and nothing in this Agreement shall operate to prevent EDC from engaging any other organisations or persons to provide services similar to, or the same as, the Services set out under Schedule “A”. 2.3 The Supplier acknowledges that more than one agreement has been awarded under the RFP. Section 3 below sets out the procedure by which EDC will select a Supplier and enter into a Work Package. Each Work Package shall be a binding agreement on the Parties and shall incorporate the terms and conditions of this Agreement.
