Services clauses. 4.3.1 Late delivery of the Services not agreed by the parties will be a default of the Contract. 4.3.2 The Supplier must co-operate with the Buyer and third party suppliers on all aspects connected with the delivery of the Services and ensure that Supplier Staff comply with any reasonable and lawful instructions including the security requirements (where any such requirements have been provided). 4.3.3 The Buyer must provide the Supplier with reasonable access to its premises where it provides such Services (if applicable) at reasonable times for the purpose of supplying the Services 4.3.4 The Supplier must at its own risk and expense provide all equipment required to deliver the Services. Any equipment provided by the Buyer to the Supplier for supplying the Services remains the property of the Buyer and is to be returned to the Buyer on expiry or termination of the Contract. 4.3.5 The Supplier must allocate sufficient resources and appropriate expertise to the Contract. 4.3.6 The Supplier must take all reasonable care to ensure performance does not disrupt the Buyer's operations, employees or other contractors. 4.3.7 On completion of the Services, the Supplier is responsible for leaving the Buyer's premises in a clean, safe and tidy condition and making good any damage that it has caused to the Buyer's premises or property, other than fair wear and tear. 4.3.8 The Supplier must ensure all Services, and anything used to deliver the Services, are of good quality and free from defects. 4.3.9 The Buyer is entitled to withhold payment for partially or undelivered Services, but doing so does not stop it from using its other rights under the Contract.
