Common use of Service Provider Liability Clause in Contracts

Service Provider Liability. Subject to Clause 16.3 (Exclusions) to Clause 16.9 (Liability) (inclusive), the Service Provider shall, with effect from the Commencement Date and to the fullest extent permitted by Applicable Law be liable, on a standard contractual basis, for: (a) any breach of the Service Provider’s (or its Affiliates’) obligations under this Agreement; or (b) the Service Provider’s or its Affiliates’ gross negligence or wilful misconduct.
