Separation Benefits Upon Certain Events Following Change of Control. If: (1) the Executive's employment is terminated (an "Involuntary Termination") by the surviving entity without Cause (as defined below); or (2) the Executive resigns under circumstances that constitute a Resignation for Good Reason (as defined below) within two (2) years following a Change of Control; Executive shall be entitled to the following separation benefits:

If: (1) the Executive's ’s employment is terminated (an "“Involuntary Termination"”) by the surviving entity without Cause (as defined below) during the twenty-four (24) month period following a Change of Control (the “Protected Period”); or (2) the Executive resigns under circumstances that constitute a Resignation for Good Reason (as defined below) within two during the Protected Period; or (23) years following the Company or a Change successor company repudiates or breaches any material provision of Control; this Agreement, Executive shall be entitled to the following separation benefits:

If: (1) the Executive's employment is terminated (an "Involuntary Termination") by the surviving entity without Cause (as defined below); or (2) the Executive resigns under circumstances that constitute a Resignation for Good Reason (as defined below) within two (2) years following a Change of Control; or (3) the Executive voluntarily resigns during the period starting one year from the effective date of the Change in Control and ending thirty days thereafter; Executive shall be entitled to the following separation benefits:
