Common use of Separate Representation Clause in Contracts

Separate Representation. if the Indemnifier assumes the defense of the relevant Claim, each Indemnified Person and its Related Parties shall be entitled to retain separate legal advisers and to participate in such defense but the legal or other expenses incurred in so doing shall, subject to Section 5.4 (Conduct by Indemnified Person), be borne by such Indemnified Person or Related Party (as the case may be) unless the Indemnifier has previously specifically authorized in writing such retention or participation.
