Purchaser shall have obtained all necessary consents or taken such other steps as are necessary or advisable to ensure that Seller’s lien on the Intellectual Property Collateral and established pursuant to the Intellectual Property Security Agreement will be the senior lien or encumbrance on the Intellectual Property Collateral.
