Seller’s Declaration. Seller declares that it has the skill, judgment, capability, means, facilities and personnel to properly, timely and fully perform this Agreement in accordance with all of its terms and conditions, and acknowledges that the Buyer, in reliance upon such express declaration, has entered into this Agreement.
