Common use of Seller’s Certificate Clause in Contracts

Seller’s Certificate. Sellers shall have executed and delivered to Buyer a certificate dated the Closing Date, in a form reasonably acceptable to Buyer, executed by each Seller, certifying to the fulfillment and satisfaction of the conditions specified in Sections 6.1(a) and 6.1(b).

Seller’s Certificate. Sellers shall have executed and delivered to Buyer Purchaser a certificate certificate, dated the Closing Date, in a form reasonably acceptable to Buyer, executed Date and signed by each SellerSellers, certifying to the fulfillment and satisfaction of the conditions specified in Sections 6.1(a) 8 and 6.1(b)9.

Sellers shall have executed execute, acknowledge and delivered deliver to Buyer a certificate the certificates dated as of the Closing Date, in a form reasonably acceptable to Buyer, executed as required by each Seller, certifying to the fulfillment and satisfaction terms of the conditions specified in Sections 6.1(a) and 6.1(b)Section 6.02.

The Sellers shall have executed and delivered to Buyer Purchaser a certificate dated the Closing Date, in a form reasonably acceptable to Buyer, executed by each Seller, certifying to the fulfillment and satisfaction of that the conditions specified in Sections 6.1(aSection 6.2(a), (b) and 6.1(b)(c) above have been fulfilled and as to such other matters as Purchaser may reasonably request.

Sellers shall have executed and delivered to Buyer a certificate certificate, dated as of the Closing Date, in a form reasonably acceptable to Buyer, and executed by each SellerSellers' executive officer, certifying to the fulfillment effect that Sellers has duly performed and satisfaction of complied with the covenants and conditions specified set forth in Sections 6.1(a) 8.1 and 6.1(b)8.2.

The Sellers shall must have executed and delivered to Buyer a certificate certificate, dated as of the Closing Date, in a form reasonably acceptable to Buyer, Date and duly executed by each Sellerthe Sellers, certifying as to the fulfillment and satisfaction of each of the conditions specified set forth in Sections 6.1(aSection 7.1(a) and 6.1(bSection 7.1(b).
