Seller Resolutions. The Seller shall have delivered deliver to Buyer Purchaser copies of the resolutions of the Board of Directors (or a copy duly authorized committee thereof) of Seller manager the Seller, authorizing the execution, delivery and member resolutions demonstrating that performance of this Agreement, and the incumbency and signatures of the persons executing this Agreement and other documents on behalf of the Transaction Documents have been approved Seller, all certified by an executive officer of the required managers and members of Seller.
