Seller as Servicer Sample Clauses
Seller as Servicer. Except as expressly set forth in this Sale Supplement, Seller shall perform all of its duties and obligations of under each Servicing Agreement until the related Servicing Transfer Date and shall at all times until the related Servicing Transfer Date meet any standards and fulfill any requirements applicable to Seller under each Servicing Agreement.
Seller as Servicer. If the Purchased Items are serviced by the Seller, the Seller agrees that, until the repurchase of a Purchased Item on a Repurchase Date, the Purchaser is the owner of all servicing records for the period that the Purchaser owns the Purchased Items, including, but not limited to, any and all servicing agreements, files, documents, records, data bases, computer tapes, copies of computer tapes, computer programs, proof of insurance coverage, insurance policies, appraisals, other closing documentation, payment history records, and any other records relating to or evidencing the servicing of such Purchased Items (the "Servicing Records"). The Seller covenants to safeguard such Servicing Records and to deliver them promptly to Purchaser or its designee (including the Custodian) at the Purchaser's request.

If the Mortgage Assets are serviced an Affiliate of any Seller, each Seller agrees that, until the repurchase of a Mortgage Asset on a Repurchase Date for a Mortgage Asset, Buyer is the owner of all servicing records, including but not limited to any and all servicing agreements, files, documents, records, data bases, computer tapes, copies of computer tapes, proof of insurance coverage, insurance policies, appraisals, other closing documentation, payment history records, and any other records relating to or evidencing the servicing of such Mortgage Asset (the "Servicing Records"). With respect to Mortgage Assets other than Junior Interests, CMBS, RMBS and Pass-Through Interests, if the Mortgage Assets are serviced an Affiliate of any Seller, each Seller agrees that, until the repurchase of a Mortgage Asset on a Repurchase Date for a Mortgage Asset, the Buyers are the owners of all servicing records, including but not limited to any and all servicing agreements, files, documents, records, data bases, computer tapes, copies of computer tapes, proof of insurance coverage, insurance policies, appraisals, other closing documentation, payment history records, and any other records relating to or evidencing the servicing of such Mortgage Asset (the “Servicing Records”). Each Seller covenants to safeguard such Servicing Records and to deliver them promptly to the Agent or its designee (including the Custodian) at the Agent’s request.
Seller as Servicer. Seller or its agent shall act as servicing agent “Servicer” on behalf of Buyer for the exclusive purpose of administering and servicing each Loan. Seller shall not be considered in any way a fiduciary with respect to any Loan, and Seller shall not owe to Buyer any fiduciary duty with respect to any Loan.
Seller as Servicer. Seller may on occasion be acting as a Servicer on the behalf of the owners of the Loans (each an “Investor”). Investor requirements which affect the listing of the Property will be communicated to Broker in the Sales Addendum, or by way of a separate written communication.
Seller as Servicer. With respect to Junior Participation Interests, Mezzanine Loans and Whole Loans, if the Purchased Securities are serviced by an Affiliate of the applicable Seller, the Seller agrees that, until the repurchase of a Purchased Security on a Repurchase Date for a Purchased Security, the Agent is the owner of all servicing records, including but not limited to any and all servicing agreements, files, documents, records, data bases, computer tapes, copies of computer tapes, proof of insurance coverage, insurance policies, appraisals, other closing documentation, payment history records, and any other records relating to or evidencing the servicing of such Purchased Security (the “Servicing Records”). The Sellers covenant to safeguard such Servicing Records and to deliver them promptly to the Agent or its designee (including the Custodian) at the Agent’s request.
