SEL. LEB shall own, and METRO, INC. and ZOE hereby grant, all rights of every kind and nature in and to all results and proceeds of METRO, INC.'s and ZOE's services hereunder, worldwide, in perpetuity, subject to the limitations provided in Section 3 of this Agreement. In connection therewith, METRO, INC. acknowledges that ZOE's services hereunder are specially ordered and commissioned by SEL-LEB as a "work made for hire" for the sole and exclusive benefit of SEL-LEB.
SEL. Leb is not involved in any actions, proceedings, or investigations, which might materially or adversely affect the Program, Racks or Inventory or which would prevent of hamper the transactions contemplated by this Agreement.
