Security Limitations. For security reasons, we may from time to time impose or modify limits or restrictions on the number, frequency, and dollar amount or types of transfers or transactions that you can make using the Services. You agree to abide and be bound by all such limitations and restrictions imposed from time to time by us, and you acknowledge and agree that such limitations and restrictions are solely for the protection of our systems and assets. We will endeavor to provide you with reasonable notice of limitations and restrictions that affect your use of the Services, but we may not provide you with notice if we believe that the confidentialityof such matters is important for the security of our systems and assets. We may refuse to process any Service transaction that we believe is fraudulent or puts our systems or assets at undue risk.

Security Limitations. (i) With respect to all time periods set forth in Section 11.01(e), (x) to the extent any date for a required action falls on a day that is not a business or working day in the relevant jurisdiction, the required date shall instead be the next business or working day in such jurisdiction and (y) if any government office required for an action is closed on one or more days on which it would normally be open, the applicable time periods set forth in Section 11.01(e) shall not commence until the business or working day following the latest date such government office was closed on a day on which it would normally be open.
Security Limitations. This Service does not include features such as: locked down access for the WAPs, single user name and logins for each WAP, logging, content filtering or intrusion detection systems. All Spectrum-authorized personnel and vendors will have access to log into the WAP devices on site. Spectrum is not responsible for security breaches that occur related to any SSIDs. Spectrum does not monitor the traffic on any SSIDs and Customer has the sole responsibility and obligation to monitor any traffic transmitted through use of the Managed WiFi Service to protect Customer’s and any user data. Spectrum can provide a non- broadcast SSID if specified on the WiFi questionnaire.

If applicable law imposes any non-disclaimable duty, you hereby agree that intentional misconduct will be the standard used to measure Xxxxxx’x compliance with that duty.

The Indemnitors hereby authorize the Indemnitees to file all financing statements and amendments to financing statements describing the Shares in any filing office as the Indemnitees, in their sole discretion, may determine. Upon Indemnitors' failure to perform their indemnification obligations hereunder, Indemitees shall have, in addition to all rights given at law or in equity, the rights granted to a secured party under the Uniform Commercial Code as adopted in the State of Delaware. Concurrently with the execution of this Agreement, the Shares shall be delivered to the Escrow Agent, to be held in escrow pursuant to that certain Escrow Agreement between the parties hereto and Blank Rome LLP, such Escrow Agreement to be in substantially the form attached hereto as Exhibit B. For purposes of this Section, each share of Company Common Stock shall be deemed to have a value equal to the Closing Price (as defined below) of such Company common stock on the date the indemnification claim is paid. Notwithstanding anything contained herein to the contrary, (i) the liability of the Indemnitors hereunder shall not apply to any claims for indemnification that are not made by the Indemnitees on or prior to the eighteen-month anniversary of the Closing Date (as defined in the Securities Purchase Agreement) (the "ESCROW TERMINATION DATE") and (ii) the indemnification obligations of the Indemnitors hereunder shall be limited to the Shares. Security Limitations. (a) Notwithstanding anything herein to the contrary, to the extent requested by Indemnitee and approved by the Board, the Company may at any time and from time to time provide security to Indemnitee for the Company’s obligations hereunder through an irrevocable bank line of credit, funded trust or other collateral. Any such security, once provided to Indemnitee, may not be revoked or released without the prior written consent of Indemnitee.
Security Limitations. Solely to the extent of any conflict or inconsistency between the terms of this Agreement and the terms of any UK Security Document then, insofar as such conflict or inconsistency relates to any Collateral or other assets purported to pledged hereunder from time to time located in the jurisdiction covered by such UK Security Document, the terms of such UK Security Document shall prevail. Notwithstanding anything herein to the contrary, with respect to any Collateral constituting Capital Stock of an issuer that is a Foreign Subsidiary (and any Collateral related thereto) that is subject to a valid and perfected lien pursuant to any security agreements, pledge agreements or similar collateral documents that are governed by the laws of the jurisdiction of organization of such Foreign Subsidiary, such Collateral shall not also be subject to the perfection requirements contained herein.

  • Warranty Limitations This Contractual Warranty does not warrant uninterrupted or error-free operation of the Product or cover normal wear and tear of the Product or costs related to the removal, installation, or troubleshooting of the customer's electrical systems. The warranty claims that relate to defects caused by any of the following factors are not covered by the Contractual Warranty: • Improper Use or Non-compliance with installation, commissioning, operation or maintenance instructions (i.e. not according to the operation & installation manual) • Unauthorized modifications, changes or attempted repairs, • Vandalism, destruction through external influence and/or persons/animals • Use in an unsuitable environment, including any environment or location that causes excessive wear and tear or dirt or dust or debris buildup within the system or that is difficult or unsafe for Xantrex LLC representatives to access • Insufficient ventilation • Installation in a corrosive environment • Failure to observe applicable safety standards & regulations • Damages during transportation or storage • Force majeure, examples include, but not limited to: fire, flood, earthquakes, storm damage, overvoltage & lightning strikes • Exposure to fire, water, snow, moisture, or liquid ingress (except for any such exposure to environmental conditions that your Product was specifically designed to withstand as indicated in the applicable specifications for your Product) • Used as a component part of a product expressly warranted by another manufacturer • If the original identification (trade-mark, serial number) markings have been defaced, altered, or removed • Consumable components of any type are not covered, including but not limited to fans, fuses and filters etc. • Cosmetic shortcoming which do not impair the use of the product for the intended purpose i.e. supply of energy Warranty claims also exclude: • Damages arising due to the fact that the use of the product for the intended purpose is no longer possible or only possible with restrictions as a result of amendments to the statutory provisions applicable to the operation of the product made after the delivery of the product • Compensation for damages related to loss of power production or business operation or any expenses incurred by customer towards repair & replacement of the product (including but not limited to labor, transportation, temporary power) • Cost arising from changes to existing PV systems or building installations or vehicle or marine vessel installation and like • Additional costs and expenses (i.e. shipping costs, travel, accommodation, meals, etc.) arising due to remote locations of the indicated geographies, including but not limited to islands and overseas territories

  • Liability Limitations This paragraph limits the liabilities arising under this Agreement or any SOW and is a bargained-for and material part of our business relationship with you. Except for the foregoing exceptions, a responsible party’s (“Responsible Party’s”) aggregate liability to the other party (“Aggrieved Party”) for damages from any and all claims or causes whatsoever, and regardless of the form of any such action(s), that arise from or relate to this Agreement (collectively, “Claims”), whether in contract, tort, indemnification, or negligence, shall be limited solely to the amount of the Aggrieved Party’s actual and direct damages, not to exceed the amount of fees paid by you (excluding hard costs for licenses, hardware, etc.) to Verticomm for the specific Service upon which the applicable claim(s) is/are based during the three (3) month period immediately prior to the date on which the cause of action accrued. Similarly, a Responsible Party’s liability obligation shall be reduced to the extent that a Claim is caused by, or the result of, the Aggrieved Party’s willful or intentional misconduct, or gross negligence.

  • Guarantee Limitations The limitations applicable to the Guarantees, as set forth in Section 209 of the Indenture and as amended by Section 2.01 of the Fifth Supplemental Indenture, will apply to the Guarantees issued hereunder, provided that any further limitations, or any amendments or modifications to such Guarantees or limitations thereon, shall be set forth in an additional supplemental indenture, in each case in accordance with the Indenture.
