Common use of Security Interests in Personal and Mixed Property Clause in Contracts

Security Interests in Personal and Mixed Property. To the extent not otherwise satisfied pursuant to subsection 4.1M, Administrative Agent shall have received evidence reasonably satisfactory to it that Holdings, Company and Subsidiary Guarantors shall have taken or caused to be taken (or will be taken within applicable perfection periods) all such actions, executed and delivered or caused to be executed and delivered all such agreements, documents and instruments (other than the items to be delivered pursuant to subsection 6.11), and made or caused to be made all such filings and recordings (other than the filing or recording of items described in clauses (ii), (iii) and (iv) below) that may be necessary in order to create in favor of Administrative Agent, for the benefit of Lenders, a valid and (upon such filing and recording) perfected First Priority security interest in the entire personal and mixed property Collateral. Such actions shall include the following:

To the extent not otherwise satisfied pursuant to subsection 4.13.1M, Administrative Agent shall have received evidence reasonably satisfactory to it that Holdings, Company and Subsidiary Guarantors Loan Parties shall have taken or caused to be taken (or will be taken within applicable perfection periods) all such actions, executed and delivered or caused to be executed and delivered all such agreements, documents and instruments (other than the items to be delivered pursuant to subsection 6.11)instruments, and made or caused to be made all such filings and recordings (other than the filing or recording of items described in clauses (ii), (iii) and (iv) below) that may be necessary or, in the opinion of Administrative Agent, desirable in order to create in favor of Administrative Agent, for the benefit of Revolving Lenders and Tranche B Lenders, a valid and (upon such filing and recording) perfected First Priority security interest (subject to Permitted Encumbrances which arise by operation of law) in the entire personal and mixed property Collateral. Such actions shall include the following:

To the extent not otherwise satisfied pursuant to subsection 4.1MG, Administrative Agent shall have received evidence reasonably satisfactory to it that Holdings, Company and Subsidiary Guarantors (other than Acquisition Co. and Shelby and its Subsidiaries in the event that less than 90% of the Shelby Common Stock is tendered in the Tender Offer) shall have taken or caused to be taken (or will be taken within applicable perfection periods) all such actions, executed and delivered or caused to be executed and delivered all such agreements, documents and instruments (other than the items to be delivered pursuant to subsection 6.11)instruments, and made or caused to be made all such filings and recordings (other than the filing or recording of items described in clauses (ii), (iii) and (iv) below) that may be necessary or, in the opinion of Administrative Agent, desirable in order to create in favor of Administrative Agent, for the benefit of Lenders, a valid and (upon such filing and recording) perfected First Priority security interest in the entire personal and mixed property Collateral.
