Common use of Security Interests in Personal and Mixed Property Clause in Contracts

Security Interests in Personal and Mixed Property. To the extent not otherwise satisfied pursuant to subsection 4.1L, Administrative Agent shall have received evidence reasonably satisfactory to it that Holdings, Company and Subsidiary Guarantors shall have taken or caused to be taken all such actions, executed and delivered or caused to be executed and delivered all such agreements, documents and instruments, and made or caused to be made all such filings and recordings (other than the filing or recording of items described in clauses (ii), (iii) and (iv) below) that may be necessary or, in the opinion of Administrative Agent, desirable in order to create in favor of Administrative Agent, for the benefit of Lenders, a valid and (upon such filing and recording) perfected First Priority Lien in the entire personal and mixed property Collateral, except as provided to the contrary in the Security Agreement. Such actions shall include the following, except as provided to the contrary in the Security Agreement:

To the extent not otherwise satisfied pursuant to subsection 4.1L4.1K, Administrative Agent shall have received evidence reasonably satisfactory to it that HoldingsCompany, Company and Subsidiary Guarantors and the shareholders of the Company shall have taken or caused to be taken all such actions, executed and delivered or caused to be executed and delivered all such agreements, documents and instruments, and made or caused to be made all such filings and recordings (other than the filing or recording of items described in clauses (iiiii), (iiiiv) and (ivv) below) that may be necessary or, in the opinion of Administrative Agent, desirable in order to create in favor of Administrative Agent, for the benefit of Lenders, a valid and (upon such filing and recording) perfected First Priority Lien security interest in the entire personal and mixed property Collateral, except as provided to the contrary in the Security Agreement. Such actions shall include the following, except as provided to the contrary in the Security Agreement:

To the extent not otherwise satisfied pursuant to subsection 4.1L4.1D, Administrative Agent Agents shall have received evidence reasonably satisfactory to it each of them that Holdings, Company and Subsidiary Guarantors shall have taken or caused to be taken all such actions, executed and delivered or caused to be executed and delivered all such agreements, documents and instruments, and made or caused to be made all such filings and recordings (other than the filing or recording of items described in clauses (iiiii), (iiiiv) and (ivv) below) that may be necessary or, in the opinion of Administrative AgentAgents, desirable in order to either assign the interest of Existing Lender or create in favor of Administrative Agent, for the benefit of Lenders, a valid and (upon such filing and recording) perfected First Priority Lien security interest in the entire personal and mixed property Collateral, except as provided to the contrary in the Security Agreement. Such actions shall include the following, except as provided to the contrary in the Security Agreement:

To the extent not otherwise satisfied pursuant to subsection 4.1L4.1N, Administrative Agent shall have received evidence reasonably satisfactory to it that Holdings, Company Borrower and Subsidiary Guarantors shall have taken or caused to be taken all such actions, executed and delivered or caused to be executed and delivered all such agreements, documents and instruments, and made or caused to be made all such filings and recordings (other than the filing or recording of items described in clauses (iiiii), (iiiiv), (v) and (ivvi) below) that may be necessary or, in the reasonable opinion of Administrative Agent, desirable in order to create in favor of Administrative Agent, for the benefit of Lenders, a valid and (upon such filing and recording) perfected First Priority Lien except for existing Liens in the entire personal and mixed property Collateral, except as provided subject, in the case of Deposit Accounts, to the contrary principal balance threshold set forth in the Security Agreementsubsection 4.1M(vii). Such actions shall include the following, except as provided to the contrary in the Security Agreement:

To the extent not otherwise satisfied pursuant to subsection 4.1L4.1I, Administrative Agent shall have received evidence reasonably satisfactory to it that Holdings, Company and Subsidiary Guarantors shall have taken or caused to be taken all such actions, executed and delivered or caused to be executed and delivered all such agreements, documents and instruments, and made or caused to be made all such filings and recordings (other than the filing or recording of items described in clauses (ii), (iii) and (iv) below) that may be necessary or, in the opinion of Administrative Agent, desirable in order to create in favor of Administrative Agent, for the benefit of Lenders, a valid and (upon such filing and recording) perfected First Priority Lien security interest in the entire personal and mixed property Collateral, except as provided to the contrary in the Security AgreementCollateral (other than Excluded Assets). Such actions shall include the following, except as provided to the contrary in the Security Agreement:

To the extent not otherwise satisfied pursuant to subsection 4.1LSubsection IV.A.13, Administrative Agent shall have received evidence reasonably satisfactory to it that Holdings, Company Borrower and Subsidiary Guarantors shall have taken or caused to be taken all such actions, executed and delivered or caused to be executed and delivered all such agreements, documents and instruments, and made or caused to be made all such filings and recordings (other than the filing or recording of items described in clauses (ii), (iii) and (iv) below) that may be reasonably necessary or, in the reasonable opinion of Administrative Agent, desirable in order to create in favor of Administrative Agent, for the benefit of Lenders, a valid and (upon such filing and recording) perfected First Priority Lien in the entire personal and mixed property Collateral, except as provided to the contrary in the Security Agreementother than certain Intellectual Property. Such actions shall include the following, except as provided to the contrary in the Security Agreement:

Such actions shall include the following, except as provided to the contrary in the Security Agreement:

To the extent not otherwise satisfied pursuant to subsection 4.1L, Each of Arranger and Administrative Agent shall have received evidence reasonably satisfactory to it that Holdings, Company Borrowers and Subsidiary Guarantors shall have taken or caused to be taken all such actions, executed and delivered or caused to be executed and delivered all such agreements, documents and instruments, and made or caused to be made all such filings and recordings (other than the filing or recording of items described in clauses (iiiii), (iiiiv) and (ivv) below) that may be necessary or, in the opinion of Arranger and Administrative Agent, desirable in order to create in favor of Administrative Agent, for the benefit of Lenders, a valid and (upon such filing and recording) perfected First Priority Lien security interest in the entire personal and mixed property Collateral, except as provided to the contrary in the Security Agreement. Such actions shall include the following, except as provided to the contrary in the Security Agreement:

To the extent not otherwise satisfied pursuant to subsection 4.1L4.1H, Administrative Agent shall have received evidence reasonably satisfactory to it that HoldingsParent, Company Borrower and Subsidiary Guarantors shall have taken or caused to be taken all such actions, executed and delivered or caused to be executed and delivered all such agreements, documents and instruments, and made or caused to be made all such filings and recordings (other than the filing or recording of items described in clauses (iiiii), (iiiiv) and (ivv) below) that may be necessary or, in the opinion of Administrative Agent, desirable in order to create in favor of Administrative Agent, for the benefit of Lenders, a valid and (upon such filing and recording) perfected First Priority Lien security interest in the entire personal and mixed property Collateral, except as provided to the contrary in the Security Agreement. Such actions shall include include, without limitation, the following, except as provided to the contrary in the Security Agreement:

To the extent not otherwise satisfied pursuant to subsection 4.1L6.9D, Administrative Agent shall have received evidence reasonably satisfactory to it that Holdings, Company Borrower and Subsidiary Guarantors shall have taken or caused to be taken all such actions, executed and delivered or caused to be executed and delivered all such agreements, documents and instruments, and made or caused to be made all such filings and recordings (other than the filing or recording of items described in clauses (ii), (iii) and (iv) below) that may be necessary or, in the opinion of Administrative Agent, desirable in order to create in favor of Administrative Agent, for the benefit of Lenders, a valid and (upon such filing and recording) perfected First Priority Lien (except for existing Liens) in the entire personal and mixed property Collateral, except as provided to the contrary in the Security Agreement.
