If during the term of the Lease any of the above items become broken or fall into disrepair, Tenant shall give notice to Landlord of the same immediately.

LICENSEE ACKNOWLEDGES THAT THERE ARE RISKS ASSOCIATED WITH UTILIZING AN INTERNET-BASED DEAL EXECUTION TRADING SYSTEM INCLUDING, BUT NOT LIMITED TO, THE FAILURE OF HARDWARE, SOFTWARE, AND INTERNET CONNECTIONS. LICENSEE ACKNOWLEDGES THAT OANDA DOES NOT CONTROL SIGNAL POWER, ITS RECEPTION OR ROUTING VIA THE INTERNET, CONFIGURATION OF LICENSEE’S EQUIPMENT OR RELIABILITY OF ITS CONNECTION, AND OANDA SHALL NOT BE RESPONSIBLE FOR ANY COMMUNICATION FAILURES, DISRUPTIONS, ERRORS, DISTORTIONS OR DELAYS LICENSEE MAY EXPERIENCE WHEN TRADING VIA THE INTERNET USING THE FXTRADE SYSTEM OR THE LICENSED MATERIALS.

If any Lender determines, acting reasonably, that any Applicable Law has made it unlawful, or that any Governmental Authority has asserted that it is unlawful, for such Lender to hold or benefit from a Lien over real property pursuant to any law of the United States or any state thereof, then such Lender may notify the Agent that such Lender disclaims any and all benefit of such Lien under the Security Documents to the extent of such illegality; provided that such determination or disclaimer shall not (a) invalidate or render unenforceable such Lien for the benefit of the Agent or any other Lender or Swap Lender or (b) result in any redistribution of any payments under Section 15.14 as a consequence of the Agent, the other Lenders and the Swap Lenders receiving realization proceeds from such Lien in excess of their respective Applicable Percentages of such realization proceeds.

You acknowledge that use of the Equipment may rely upon certain networks, systems, and data communication mediums that are not controlled by Tektronix and that may be vulnerable to data or security breaches, including, without limitation, internet networks used by Your internet providers and the databases and servers controlled by Your internet providers. Tektronix shall not be liable for any such breaches, including without limitation, damages and/or loss of data related to any security breach, and disclaims all warranties, including any implied or express warranties that any content will be secure or not otherwise lost or altered. For the avoidance of doubt, if You choose to connect this Software or Equipment to a network, it is Your sole responsibility to provide and continuously ensure a secure connection to that network. You agree to establish and maintain appropriate measures (e.g., firewalls, authentication measures, encryption, anti-virus applications, etc.) to protect the Software and Equipment and any associated data against security breaches including unauthorized access, destruction, use, modification, or disclosure. Notwithstanding the foregoing, You shall not use any Products in a network with other products or services that are incompatible, insecure or not compliant with applicable laws.

The Association and/or the Managing Agent may, but shall not be obligated to, maintain or support certain activities within the Project designed to make the Project safer than it might otherwise be. The Association, the Managing Agent and Seller shall not in any way be considered insurers or guarantors of security within the Project, and neither the Association, nor the Managing Agent, nor Seller, nor any successor, shall be held liable for any loss or damage by reason of failure to provide security or the ineffectiveness of security measures undertaken. Purchaser acknowledges that the Association, the Board, the Managing Agent, Seller and any successor, do not represent or warrant that any fire protection system or other security system designed or installed according to the guidelines established by Seller or the Association may not be compromised or circumvented, that any fire protection or burglar alarm systems or other security systems will prevent loss by fire, smoke, burglary, theft, hold‐up, terrorism or otherwise, nor that fire protection or burglar alarm systems or other security systems will in all cases provide the detection or protection for which the system was designed or intended. Purchaser acknowledges and understands that the Managing Agent, the Association, its Board and committees, Seller and any successor, are not insurers, and that each Owner, his or her family, agents, guests, or other Occupants of a unit assume all risks for loss or damage to persons, units and the contents of units, and further acknowledges that the Managing Agent, the Association, its Board and committees, Seller and any successor, have made no representations or warranties, nor will Purchaser rely upon any representation or warranty, expressed or implied, including any warranty of merchantability, as to the fitness of any alarm systems or other security systems recommended or installed, or any security measure undertaken within the Project.

Licensee acknowledges and agrees that Licensee is solely and exclusively responsible for the control, operation and security of Transactions and communications made through its access to or use of the FXTrade System and the Licensed Materials. Licensee acknowledges that there are risks associated with utilizing an internet-based deal execution trading system including, but not limited to, the failure of hardware, software, and internet connections. Licensee acknowledges that OANDA does not control signal power, its reception or routing via the internet, configuration of Licensee’s equipment or reliability of its connection, and OANDA shall not be responsible for any communication failures, disruptions, errors, distortions or delays Licensee may experience when trading via the internet using the FXTrade System or the Licensed Materials.

LANDLORD DOES NOT MAKE, AND TENANT WAIVES, ANY GUARANTY OR WARRANTY, EXPRESSED OR IMPLIED, WITH RESPECT TO SECURITY AT THE PROPERTY OR IN THE BUILDING, OR THAT ANY SECURITY MEASURES WILL PREVENT OCCURRENCES OR CONSEQUENCES FOR CRIMINAL ACTIVITY. ANY MECHANICAL SECURITY DEVICES CAN BE RENDERED INOPERATIVE ANY TIME. LANDLORD IS NOT RESPONSIBLE FOR A TEMPORARY FAILURE OF SUCH DEVICES. IF SUCH DEVICES ARE IN NEED OF REPAIR, TENANT WAIVES ALL WARRANTIES, EXPRESS OR IMPLIED, WITH RESPECT TO LANDLORD’S REPAIR OF SUCH DEVICES. LANDLORD’S INSTALLATION OR USE OF ANY SECURITY MEASURE DOES NOT CONSTITUTE A VOLUNTARY UNDERTAKING OR AGREEMENT BY LANDLORD TO PROVIDE SECURITY TO TENANT OR ANY TENANT-RELATED PARTY OR ANY PROPERTY OF THE SAME. LANDLORD MAY MODIFY, REDUCE OR ELIMINATE THE USE OF ANY SECURITY MEASURE AT ANY TIME WITHOUT NOTICE TO TENANT. NEITHER LANDLORD NOR ITS AGENTS, EMPLOYEES OR REPRESENTATIVES ARE LIABLE IN ANY WAY FOR ANY DISRUPTION IN THE OPERATION OR PERFORMANCE OF ANY SECURITY MEASURE. LANDLORD DOES NOT MAKE, AND TENANT WAIVES, ANY GUARANTY OR WARRANTY THAT THE PRESENCE OF ANY SECURITY MEASURE AT THE PROPERTY OR IN THE BUILDING IN ANY WAY INCREASES THE PERSONAL SECURITY OF TENANT OR ANY TENANT-RELATED PARTY OR ANY PROPERTY OF THE SAME. LANDLORD IS NOT LIABLE TO TENANT OR ANY TENANT-RELATED PARTY FOR ANY INJURY, DAMAGE OR LOSS WHATSOEVER WHICH IS CAUSED (I) AS A RESULT OF ANY PROBLEM, DEFECT, MALFUNCTION OR FAILURE OF THE PERFORMANCE OF ANY SECURITY MEASURE OR (II) BY ANY PERSON ENGAGED IN ANY CRIMINAL ACTIVITY. Security Disclaimer. In order to avoid circumstances or events with the potential to adversely impact Customer’s and/or Customer’s Affiliates’ plants, systems, machines and networks via unauthorized access, destruction, disclosure and/or modification of information, denial of service attacks or comparable scenarios (so-called “Cyberthreats”), it is necessary to implement – and continuously maintain – a holistic, state-of-the-art industrial security concept. While the Industrial Edge Offerings are designed with security functions in mind which support secure industrial operations, Siemens’ products and solutions only form one element of such a concept and it is up to Customer and Customer’s Affiliates to configure these functions. Consequently, Customer and Customer’s Affiliates remain responsible to prevent unauthorized access to its plants, systems, machines and networks and Siemens disclaims all liability for damage resulting from such Cyberthreats to the maximum extent permitted by law. Such systems, machines and components should only be connected to the enterprise network or the internet once a month to receive updates but only when appropriate security measures (e.g., firewalls and/or network segmentation) are in place. Customer and Customer’s Affiliates are advised to take Siemens’ guidance on appropriate security measures into account, which can be found at xxxxx://xxx.xxxxxxx.xxx/industrialsecurity. In this respect updates to Industrial Edge Offerings should be applied as soon as available and the newest version of the Industrial Edge Offering should be used, since use of versions that are no longer supported and failure to apply updates may increase exposure to Cyberthreats.
