SECTION I. MANAGEMENT SERVICES. 1.1. Commencing on the Effective Date, Source hereby engages and retains Notar to provide or otherwise make available to Source the services described in this Section I (the "Management Services"), and Notar hereby accepts and agrees to provide such Management Services to Source, for the term and consideration as specified herein. The fee payable for such Management Services shall be determined in accordance with Section 3 hereof.
