Section Assignment; Participations. This Agreement shall be binding upon, and shall inure to the benefit of, the Borrower, the Administrative Agent, the Co-Agent, the Lenders, the Swingline Bank, the Issuing Bank and their respective successors and assigns, except that the Borrower may not assign or transfer its rights or obligations hereunder without the written approval of all the Lenders.
