Section 4. Applicability. The Employer will provide the protection set forth in Section 1 and Section 2 above, so long as the employee is acting within the scope of his employment and where the officer cooperates, as defined in Section 3 above, with the Employer in defense of an action or actions or claims. Intentional acts or willful acts or misconduct are not covered by this Agreement.
