Section 10.3.2. 21 All employees covered by this Agreement shall have the right to apply for any bargaining unit 22 position which is advertised in accordance with 10.3 above. Employees should do so by keeping 23 updated current materials in the district on-line application system and submitting application via 24 that system. Employees meeting the minimum qualifications listed in the vacancy announcement 25 shall be interviewed for that position and careful consideration will be given to relevant, successful 26 prior bargaining unit experience.

Section 10.3.2. Section 1032(a) provides that no gain or loss is recognized to a corporation on the receipt of money or other property in exchange for stock (including treasury stock) of such corporation. Thus, no gain or loss should be recognized by Novume on issuance of Novume stock for Company assets.

Section 10.3.2. The first row of the Base Rent schedule set forth at the end of Section 10.3.2 of the Second Amendment, which schedule sets forth the Annual Base Rent and the Monthly Base Rent for the period between the Expansion Effective Date and December 31, 2010, is hereby deleted in its entirety and of no further force or effect, in view of the fact that the Base Rent applicable during such period is addressed in Section 2, above.
