Company shall have received a certificate or certificates, dated the Closing Date and signed by the Secretary of Parent and of Newco, certifying the completeness and accuracy of the attached copies of Parent's and Newco's respective Charter Documents (including amendments thereto), Bylaws (including amendments thereto), and resolutions of the boards of directors and, if required, the stockholders of Parent and Newco approving Parent's and Newco's entering into this Agreement and the consummation of the transactions contemplated hereby.
