Second Lien Loan Documents. On or prior to the Closing Date, (i) Holdings and the Term Borrower shall have entered into the Second Lien Credit Agreement on terms and conditions reasonably satisfactory to the Administrative Agent and (ii) the Administrative Agent shall have received true and correct copies, certified as such by an appropriate officer of the Term Borrower of the Second Lien Loan Documents as in effect on the Closing Date and each of the other Second Lien Loan Documents as originally executed and delivered on the Closing Date (each of which shall be reasonably satisfactory to the Administrative Agent).
Second Lien Loan Documents. As of the Second Amendment and Restatement Date, the Borrower has delivered to the Lender true and correct copies of the Second Lien Loan Documents. The Second Lien Loan Documents are in full force and effect as of the Second Amendment and Restatement Date and have not been terminated, rescinded or withdrawn as of such date. The execution, delivery and performance of the Second Lien Loan Documents by the Borrower does not and will not require any registration with, consent, or approval of, or notice to, or other action with or by, any Governmental Authority, other than consents or approvals that have been obtained and that are still in full force and effect. .
Second Lien Loan Documents. Borrower Parties shall have delivered to the Co-Agent and the Agent certified copies of the Second Lien Loan Documents, which shall each be in form and substance satisfactory to the Co-Agent and the Agent and which shall each be effective in accordance with their terms.
Second Lien Loan Documents. As of the Closing Date, Borrower has delivered to Agent a complete and correct copy of the Second Lien Loan Documents (including all schedules, exhibits, amendments, supplements, modifications, assignments and all other documents delivered pursuant thereto or in connection therewith).
Second Lien Loan Documents. (i) The Administrative Agent shall have received executed copies of the Second Lien Loan Documents, which shall be reasonably satisfactory to the Administrative Agent and shall be subject to the Intercreditor Agreement.
Second Lien Loan Documents. The Administrative Agent shall have received an executed copy of the Second Lien Loan Documents and the Borrower shall have satisfied each condition set out in Section 6.01 of the Second Lien Credit Agreement unless waived (other than any condition in relation to the execution, delivery and performance of this Agreement and the other Loan Documents required to be executed and delivered on the Closing Date).
Second Lien Loan Documents. Administrative Agent has received, in form and substance satisfactory to Administrative Agent in its discretion, copies of the Second Lien Loan Documents, certified by the secretary or assistant secretary (or similar officer) of Borrower Representative as being true, accurate, and complete.
Second Lien Loan Documents. The Administrative Agent shall have received a fully executed copy of the Second Lien Credit Agreement.
Second Lien Loan Documents. (a) Contemporaneously with the initial extensions of credit hereunder, (i) cause all transactions contemplated by the Second Lien Loan Documents to be consummated and (ii) furnish to Agent (A) certified (as of the Closing Date) true and complete copies of the Second Lien Loan Documents and (B) all necessary consents and approvals required to be obtained in connection therewith.
Second Lien Loan Documents. There shall occur an “Event of Default” (or any comparable term) under, and as defined in, the Second Lien Loan Documents.
