Common use of Second Effective Time Clause in Contracts

Second Effective Time. As promptly as practicable after the First Effective Time, Merger Sub II shall file with the Secretary of State of the State of Delaware a certificate of merger for the Second Merger (the “Second Certificate of Merger”), duly executed in accordance with, and in such form as required by, the DGCL. The Second Merger shall become effective at the time that Merger Sub II duly files the Second Certificate of Merger with the Secretary of State of the State of Delaware or at such later time as Acuren and NV5 shall agree and specify in the Second Certificate of Merger (the time the Second Merger becomes effective, the “Second Effective Time”).

Second Effective Time. As Upon the terms and subject to the provisions of this Agreement, promptly as practicable after the First Effective Time, the Parties shall cause the Second Merger to be consummated by executing, and Merger Sub II shall file will file, a Certificate of Merger with the Secretary of State of the State of Delaware a certificate of merger for respect to the Second Merger (the “Second Certificate of Merger” and, together with the First Certificate of Merger, the “Certificates of Merger”)) with the Delaware Secretary of State, duly executed in accordance with, and in such form as is required by, and executed in accordance with the relevant provisions of the DGCL. The Second Merger shall become effective at the such time that Merger Sub II duly files as the Second Certificate of Merger is duly filed with the Delaware Secretary of State of the State of Delaware or at such later time as Acuren Parent and NV5 the Company shall agree in writing and shall specify in the Second Certificate of Merger (the time the Second Merger becomes effective, effective being the “Second Effective Time”).

The Second Merger shall become effective at the time that Merger Sub II duly files the Second Certificate of Merger with the Secretary of State of the State of Delaware or at such later time as Acuren Parent and NV5 the Company shall agree and specify in the Second Certificate of Merger (the time the Second Merger becomes effective, the “Second Effective Time”).

The Second Merger shall become effective at the time that Merger Sub II duly files the Second Certificate of Merger with the Secretary of State of the State of Delaware or at such later time as Acuren Parent and NV5 the Seller shall agree and specify in the Second Certificate of Merger (the time the Second Merger becomes effective, the “Second Effective Time”).
