Scope and Duration; Severability. The Company, Employer and Employee understand and agree that the scope and duration of the covenants contained in this Section 5 are reasonable both in time and geographical area and are necessary and fair to protect the business of the Company. Except as otherwise stated herein, such covenants shall survive the termination of Employee’s employment. It is further agreed that such covenants shall be regarded as divisible and shall be operative as to time and geographical area to the extent that they may be made so and, if any part of such covenants are declared invalid or unenforceable, the validity and enforceability of the remainder shall not be affected.

In the event the Federal Trade Commission passes a rule or regulation that becomes effective and prohibits any restriction set forth in this Agreement, such prohibited restriction shall be null and void until the time such rule is enjoined or otherwise preempted, overturned, or stayed.

Company and Employee understand and agree that the scope and duration of the covenants contained in this Section 4 are reasonable both in time and geographical area and are reasonably necessary to protect the interests of Company. Such covenants shall survive the termination or expiration of this Agreement and the termination of Employee's employment regardless of the reason for said termination. It is further agreed that such covenants shall be regarded as divisible and shall be operative as to time and geographical area to the extent that they may be made so and, if any part of such covenants is declared invalid or unenforceable, the validity and enforceability of the remainder shall not be affected. Any judicial authority construing this agreement shall be empowered to sever any portion of the territory or prohibited activity from the coverage of this agreement and to apply the provisions of the agreement to the remaining portion of the territory or the remaining activities not so severed by such judicial authority. Employee represents and acknowledges that in the event of the termination of his employment with Company for any reason whatsoever, his experience and capabilities are such that he can obtain employment which will not cause him to violate the terms of the Agreement and that the enforcement of a remedy for Company by way of injunction will not prevent him from earning a livelihood.

Such covenants will survive the termination of Employee's employment to the extent provided for in subsection (a). The parties further agree that such covenants will be regarded as divisible and will be operative as to time and geographical area to the extent that they may be so operative and, if any part of such covenants is declared invalid or unenforceable, the validity and enforceability of the remainder will not be affected. Employee hereby warrants to Company that Employee's compliance with all of the restrictive covenants set forth in this Agreement will not, upon the termination of Employee's employment with the Company for any reason whatsoever, cause Employee to be unable to earn a living that is suitable and acceptable to Employee and any persons who may be dependent upon Employee.
