Scheduled Affiliate Default. Any Scheduled Affiliate fails to make any payment when due under, or defaults under, fails to perform or observe any covenant of or condition or agreement in breach of, or makes any material inaccuracy in or omission from any representation and warranty under, any Loan Document with Secured Party or in any other agreement, instrument, document or certificate, or financial or other statement delivered to Secured Party, and such failure, default or breach continues beyond any applicable grace period provided therein; or
