Common use of Satisfactory Written Assignment Required Clause in Contracts

Satisfactory Written Assignment Required. Anything herein to the contrary notwithstanding, both the Partnership and the General Partner shall be entitled to treat the assignor of an Interest in the Partnership as the absolute owner thereof in all respects, and shall incur no liability for distributions made in good faith to him or her, until such time as a written assignment that conforms to the requirements of this Article 8 has been received by, accepted and recorded on the books of, the Partnership.
