Satisfaction of Claim. The Employee rights and interests, and rights and interests of any person taking under or through him, will be completely satisfied upon compliance by the Employer with the provisions of the Agreement.
Satisfaction of Claim. Upon satisfaction of the above-mentioned claim by the defaulting Theatre, no individual employed by or associated with that Theatre shall be penalized or discriminated against by Equity.

Satisfaction of Claim. The Executive agrees that the Executive’s rights and interests under this Agreement, and rights and interests under this Agreement of any persons taking under or through the Executive, will be completely satisfied upon compliance by Nalco with the provisions of this Agreement.
Satisfaction of Claim. In the event of any claim by Customer against any Affiliate of Mimecast under the Standard Contractual Clauses, Customer shall accept payment from the Mimecast entity with whom Customer entered into the Agreement, on behalf of the relevant Affiliate of Mimecast in satisfaction of such claim.

If the Indemnitor has acknowledged its obligation to indemnify Indemnitee with respect to a Claim and does not dispute the amount of such Claim, Indemnitee shall be entitled to immediate satisfaction in cash of any related Loss. If the Indemnitor disputes the amount of a Claim, Indemnitee shall be entitled to immediate satisfaction in cash of any undisputed Loss related to the Claim and the Indemnitor shall pay in cash the amount of any disputed Loss upon a final determination of the indemnifiable amount of such Loss. No Indemnitee (or its affiliate) shall be entitled to offset the amount of any Loss to which it is entitled to indemnification hereunder against any obligation due by it to the Indemnitor (or its affiliate).
Satisfaction of Claim. Upon the execution and delivery of this Agreement by the Parties, the execution and delivery of the Stock Purchase Warrant by Nephros, and Nephros's compliance with its payment obligation under Section 1 hereof, the Claim shall be fully paid and satisfied and Nephros and all of its successors in interest, and all its agents, officers, directors, associates, affiliates, employees, representatives, attorneys, heirs, assigns, and/or their successors in interest, shall be forever released and discharged from any and all claims, causes of action, liabilities, damages, costs or demands of whatever character relating to the Claim, the Navaho Project or the Navaho Project Plan Agreement. Upon Nephros' payment to Claimant of the $300,000 payment referenced above, all right, title and interest to all materials and other assets, whether tangible or intangible, related to or prepared in connection with the Navaho Project (including but not limited to molds, computer and machine hardware and product documentation), and all intellectual property related thereto, shall automatically, without the necessity of any action by any Party, be conveyed and transferred to Nephros and Claimant shall, promptly upon such payment, cause Nephros, to have sole access to such materials and other assets, at no additional cost to Nephros. Claimant shall execute any documentation reasonably requested by Nephros to evidence such conveyance, transfer and sole access.
Satisfaction of Claim. The Owner's rights and interests, and rights and interests of any person taking under or through the Owner, will be completely satisfied upon compliance by the Corporation with the provisions of this Agreement.
Satisfaction of Claim. In the event of any claim by the Data Controller against any Affiliate of the Data Processor under the Standard Contractual Clauses, the Data Controller shall accept payment from the Data Processor or entity with whom the Data Controller entered into the DPA, on behalf of the relevant Affiliate of the Data Controller in satisfaction of such claim. Schedule 1 to the DPA Processing Details Duration of the processing The Personal Data Processed by Data Controller will be processed for the duration of the DPA. Data subjects The Personal Data transferred concern the following categories of Data Subjects: Employees, freelancers and contractors of the Data Controller; Permitted Users and other participants from time-to-time to whom the Data Controller has granted the right to access the Services in accordance with the DPA; End user customers of Customers and individuals with whom those end users customers communicate with by email and/or instant messaging;
