Common use of Sanctions Concerns Clause in Contracts

Sanctions Concerns. No Loan Party, nor any Subsidiary, nor, to the knowledge of the Borrower, any director, officer, employee, agent, affiliate or representative thereof, is an individual or entity that is, or is owned or controlled by one or more individuals or entities that are (i) currently the subject or target of any Sanctions, (ii) included on OFAC’s List of Specially Designated Nationals or HMT’s Consolidated List of Financial Sanctions Targets, or any similar list enforced by any other relevant sanctions authority or (iii) located, organized or resident in a Designated Jurisdiction. The Borrower and its Subsidiaries have conducted their businesses in compliance in all material respects with all applicable Sanctions and have instituted and maintained policies and procedures designed to promote and achieve compliance with such Sanctions.

Sanctions Concerns. No Neither the Loan PartyParties, nor any Subsidiaryof their Subsidiaries, nor, to the knowledge of the Borrower, nor any director, officer, employee, agent, affiliate officer or representative employee thereof, is an individual or entity that is, or is owned or controlled by one any individual or more individuals or entities entity that are is (i) currently the subject or target of any Sanctions, (ii) included on OFAC’s List of Specially Designated Nationals or Nationals, HMT’s Consolidated List of Financial Sanctions TargetsTargets and the Investment Ban List, or any similar list enforced by any other relevant sanctions authority as applicable to the Borrower or (iii) located, organized or resident in a Designated Jurisdiction. The Borrower and its Subsidiaries have conducted their businesses in compliance in all material respects with all applicable Sanctions and have instituted and maintained policies and procedures designed to promote and achieve compliance with such Sanctions.

Sanctions Concerns. No Loan Party, nor any Subsidiary, nor, to the knowledge of the BorrowerLoan Parties and their Subsidiaries, any director, officer, employee, agent, affiliate or representative thereof, is an individual or entity that is, or is owned or controlled by one or more individuals or entities that are (i) currently the subject or target of any Sanctions, (ii) included on OFAC’s List of Specially Designated Nationals or HMT’s Consolidated List of Financial Sanctions Targets, or any similar list enforced by any other relevant sanctions authority or (iii) located, organized or resident in a Designated Jurisdiction. The Borrower and its Subsidiaries have conducted their businesses in compliance in all material respects with all applicable Sanctions and have instituted and maintained commercially reasonable policies and procedures designed to promote and achieve compliance with such Sanctions.

No Loan Party, nor any Subsidiary, nor, to the knowledge of the BorrowerLoan Parties and their Subsidiaries, any director, officer, employee, agent, affiliate or representative thereof, is an individual or entity that is, or is owned or controlled by one or more individuals or entities that are (i) currently the subject or target of any Sanctions, (ii) included on OFAC’s List of Specially Designated Nationals or HMT’s Consolidated List of Financial Sanctions Targets, or any similar list enforced by any other relevant sanctions authority or (iii) located, organized or resident in a Designated Jurisdiction. No Loan Party, nor any Subsidiary, nor, to the knowledge of the BorrowerLoan Parties and their Subsidiaries, any director, officer, employee, agent, affiliate or representative controlled Affiliate thereof, is an individual or entity that is, or is owned or controlled by one or more individuals or entities that are (i) currently the subject or target of any applicable Sanctions, (ii) included on OFAC’s List of Specially Designated Nationals or HMT’s Consolidated List of Financial Sanctions Targets, or any similar list enforced by any other relevant sanctions authority or (iii) located, organized or resident in a Designated Jurisdiction. The Borrower Limited and its Subsidiaries have conducted their businesses in compliance in all material respects with all applicable Sanctions and have instituted and maintained policies and procedures designed to promote and achieve compliance with such Sanctions.

Sanctions Concerns. No Loan Party, nor any Restricted Subsidiary, nor, to the knowledge of the BorrowerBorrower and its Restricted Subsidiaries, any director, officer, employee, agent, or affiliate or representative thereof, is an individual or entity that is, or is owned or controlled by one any individual or more individuals or entities entity that are is (i) currently the subject or target of any Sanctions, (ii) included on OFAC’s List of Specially Designated Nationals or Nationals, HMT’s Consolidated List of Financial Sanctions TargetsTargets and the Investment Ban List, or any similar list enforced by any other relevant sanctions Sanctions authority or (iiiii) located, organized or resident in a Designated Jurisdiction. The Borrower and its Subsidiaries have conducted their businesses in compliance in all material respects with all applicable Sanctions and have instituted and maintained policies and procedures designed Jurisdiction (such Persons referred to promote and achieve compliance with such Sanctionsherein as “Sanctioned Persons”).

No Loan Party, nor any Subsidiary, nor, to the knowledge of the BorrowerLoan Parties and their Subsidiaries, any director, officer, employee, agent, affiliate or representative thereof, is an individual or entity that is, or is owned or controlled by one any individual or more individuals or entities entity that are is (i) currently the subject or target of any Sanctions, (ii) included on OFAC’s List of Specially Designated Nationals or Nationals, HMT’s Consolidated List of Financial Sanctions Targets, or any similar list enforced by any other relevant sanctions authority or (iii) located, organized or resident in a Designated Jurisdiction. The Borrower Company and its Subsidiaries have conducted their businesses in compliance in all material respects with all applicable Sanctions and have instituted and maintained policies and procedures designed to promote and achieve compliance with such Sanctions.
