Sale of Note and Warrant Sample Clauses

The "Sale of Note and Warrant" clause defines the terms under which a lender purchases both a promissory note and an accompanying warrant from the issuer. Typically, this clause specifies the purchase price, the amount of the note, and the rights attached to the warrant, such as the ability to purchase equity in the future. Its core function is to formalize the simultaneous issuance and sale of debt (the note) and an equity-linked instrument (the warrant), ensuring both parties are clear on the transaction structure and their respective rights and obligations.
