Sale and Purchase of the TCH Shares. Upon the terms and subject to the conditions contained herein, on the Closing Date, in consideration of the Final Purchase Price, Tecumseh shall sell, assign, transfer, convey and deliver to Purchaser One all of the issued and outstanding shares of the capital stock of TCH (the "TCH Shares").
