Common use of Sale and Purchase of Common Stock Clause in Contracts

Sale and Purchase of Common Stock. Subject to the terms and conditions hereof, the Company agrees to sell to the Purchaser, and the Purchaser agrees to purchase from the Company, 1,765 shares (the "Shares") of the Common Stock for an aggregate purchase price (the "Purchase Price") of Three Million and 00/100 dollars ($3,000,000.00).

Sale and Purchase of Common Stock. (a) Sale of the Common Stock. Subject to the terms and conditions hereof, on the Closing Date, as defined in Section 3 hereof, the Company agrees to sell to the Purchaserissue and sell, and the Purchaser agrees irrevocably to purchase from the Company, 1,765 500,000 shares (the "Shares") of the Common Stock at $1.00 per share for an aggregate purchase price of $500,000 (the "Purchase Price") of Three Million and 00/100 dollars ($3,000,000.00).

Sale and Purchase of Common Stock. Subject In reliance on the representations and warranties of the Company and of Purchaser contained herein and subject to the terms and conditions hereof, the Company agrees to sell to the Purchaser, and the Purchaser agrees to purchase from the Company, 1,765 and the Company agrees to issue and sell to Purchaser, 268,600 shares (the "Shares") of the Common Stock at a purchase price of $16.7535 per share, for an aggregate purchase price of Four Million Five Hundred Thousand Dollars ($4,500,000) (the "Purchase Price") of Three Million and 00/100 dollars ($3,000,000.00).
