Common use of Sale and Leaseback Transactions and other Off-Balance Sheet Liabilities Clause in Contracts

Sale and Leaseback Transactions and other Off-Balance Sheet Liabilities. The Borrower will not, nor will it permit any Subsidiary to, enter into or suffer to exist any (i) Sale and Leaseback Transaction or (ii) any other transaction pursuant to which it incurs or has incurred Off-Balance Sheet Liabilities, except for Rate Management Obligations permitted to be incurred under the terms of Section 6.11(v).

Sale and Leaseback Transactions and other Off-Balance Sheet Liabilities. The Borrower will not, nor will it the Borrower permit any Subsidiary of its Restricted Subsidiaries to, enter into or suffer to exist any (i) Sale sale and Leaseback Transaction leaseback transaction or (ii) any other transaction pursuant to which it incurs or has incurred Off-Balance Sheet Liabilities, except for Rate Management Obligations (x) Hedging Agreements to the extent permitted to be incurred under the terms of Section 6.11(v)7.3(d) and (y) Advance Payment Contracts to the extent permitted under the terms of Section 7.22.

The Borrower will not, nor will it permit any Subsidiary to, enter into or suffer to exist any (ia) Sale and Leaseback Transaction or (iib) any other transaction pursuant to which it incurs or has incurred Off-Balance Sheet Liabilities, except for (i) the transaction described in the Disclosure Schedule, and (ii) Rate Management Obligations permitted to be incurred under the terms of Section 6.11(v)7.11.

The Borrower will not, nor will it the Borrower permit any Subsidiary of its Restricted Subsidiaries to, enter into or suffer to exist any (ia) Sale sale and Leaseback Transaction leaseback transaction or (iib) any other transaction pursuant to which it incurs or has incurred Off-Balance Sheet Liabilities, except for Rate Management Obligations (i) Hedge Transactions to the extent permitted to be incurred under the terms of Section 6.11(v)9.18 and (ii) Advance Payment Contracts to the extent permitted under the terms of Section 9.17.

The Borrower will not, nor will it permit any Subsidiary to, enter into or suffer to exist any (i) Sale and Leaseback Transaction (other than the sale and leaseback of the Borrower’s facility at 00000 X. Xxx Xxxxxx, Xxxxx, Xxxxxxxx under terms acceptable to the Administrative Agent) or (ii) any other transaction pursuant to which it incurs or has incurred Off-Balance Sheet Liabilities, except for Rate Management Obligations obligations under Swap Agreements permitted to be incurred under the terms of Section 6.11(v)in this Agreement.

The Borrower will not, nor will it permit any Subsidiary to, enter into or suffer to exist any (i) Sale and Leaseback Transaction Transaction, or (ii) any other transaction pursuant to which it incurs or has incurred Off-Off- Balance Sheet Liabilities, except for Rate Management Obligations permitted to be incurred under Liabilities without the terms prior written consent of Section 6.11(v)Required Lenders.

The Borrower will not, nor will it permit Parent or any Subsidiary to, enter into or suffer to exist any (i) Sale and Leaseback Transaction Transaction, other than Permitted Indebtedness, or (ii) any other transaction pursuant to which it incurs or has incurred Off-Balance Sheet Liabilities, except for (a) Rate Management Obligations permitted to be incurred under the terms of Section 6.11(v)and (b) Permitted Indebtedness.

The Borrower will not, nor will it permit any Subsidiary to, enter into or suffer to exist any (i) Sale and Leaseback Transaction or (ii) any other transaction pursuant to which it incurs or has incurred Off-Balance Sheet Liabilities, except for (a) Rate Management Obligations permitted to be incurred under the terms of Section 6.11(v)6.21.

The Borrower will not, nor will it permit any Subsidiary to, enter into or suffer to exist any (i) Sale and Leaseback Transaction or (ii) any other transaction pursuant to which it incurs or has incurred Off-Balance Sheet Liabilities, except for Rate Management Obligations Liabilities other than any Advance Payment Contract permitted to be incurred under the terms of Section 6.11(v)6.02.

The Borrower will not, nor will it permit any Subsidiary to, enter into or suffer to exist any (i) Sale and Leaseback Transaction or (ii) any other transaction pursuant to which it incurs or has incurred Off-Balance Sheet Liabilities, except for Rate Management Obligations having a Net Xxxx-to-Market Exposure not exceeding $15,000,000 or a transaction permitted to be incurred under the terms of Section 6.11(v6.11(iii).

The Each Borrower will not, nor will it permit any Subsidiary to, enter into or suffer to exist any (i) Sale and Leaseback Transaction or (ii) any other transaction pursuant to which it incurs or has incurred Off-Balance Sheet Liabilities, except for Rate Management Obligations permitted to be incurred under the terms of Section 6.11(v)6.21.

Sale and Leaseback Transactions and other Off-Balance Sheet Liabilities. The Neither the Borrower will not, nor will it permit any Subsidiary to, will enter into or suffer to exist any (i) Sale and Leaseback Transaction or (ii) any other transaction pursuant to which it incurs or has incurred Off-Balance Sheet Liabilities, except for Rate Management Obligations (i) Non-Recourse Indebtedness permitted to be incurred under the terms of Section 6.11(v)6.11; and (ii) Rate Management Transactions permitted to be incurred under the terms of Section 6.23.

The Each Borrower will not, nor will it permit any Subsidiary to, enter into or suffer to exist any (i) Sale and Leaseback Transaction or (ii) any other transaction pursuant to which it incurs or has incurred Off-Balance Sheet Liabilities, except for Rate Management Obligations under Rate Management Transactions permitted to be incurred under the terms of Section 6.11(v)6.11 or required under Section 6.20.

The Borrower will not, nor will it permit any Subsidiary to, enter into or suffer to exist any (i) Sale and Leaseback Transaction or (ii) any other transaction pursuant to which it incurs or has incurred Off-Balance Sheet Liabilities, except for (a) Rate Management Obligations permitted to be incurred under the terms of Section 6.11(v)in this Agreement.

The Borrower will not, nor will it permit any Subsidiary to, enter into or suffer to exist any (i) Sale and Leaseback Transaction other than Permitted Sale and Leaseback Transactions or (ii) any other transaction pursuant to which it incurs or has incurred Off-Balance Sheet Liabilities, except for Related Rate Management Obligations permitted to be incurred under the terms of Section 6.11(v)Hedging Obligations.

The Neither the Borrower will not, nor will it permit any Subsidiary to, will enter into or suffer to exist any (i) Sale and Leaseback Transaction or (ii) any other transaction pursuant to which it incurs or has incurred Off-Balance Sheet Liabilities, except for Rate Management Obligations (i) Non-Recourse Indebtedness permitted to be incurred under the terms of Section 6.11(v)6.13; and (ii) Rate Management Transactions permitted to be incurred under the terms of Section 6.25.
