Safety Standard Changes. Each Party will immediately give notice to the other Party if any upgrade, substitution or other change to an instrument is required to make that instrument meet applicable safety standards or other governmental statutes, rules, orders or regulations, even those that are not defined as Engineering Changes in Section 7.9. 1. The Parties will determine which Party is responsible for meeting the requirement, and such Party shall take all appropriate steps to effect the upgrade, substitution, or other change that may be required. If the instrument met all applicable safety standards and other governmental requirements at the time of manufacture, the Parties will allocate the costs of any subsequent upgrade, substitution or other change required, in an equitable manner, based on good faith discussions between the Parties.

Foundry will immediately give notice to HP if ----------------------- any upgrade, substitution or other change to an OEM Product is required to make that product meet applicable safety standards or other governmental statutes, rules, orders or regulations, even those that are not defined as Engineering Changes in Section 7.1
Safety Standard Changes. ODM shall promptly notify EMACHINES if any ----------------------- upgrade, substitution or other change to any ODM Component or Third Party Component is required to make the Component meet applicable safety standards or other governmental statutes, rules, orders or regulations. If an ODM Component or Third Party Component meets applicable safety standards and other governmental requirements at the time of manufacture, EMACHINES and ODM will allocate the costs of any subsequent upgrade, substitution or other required change in an equitable manner based on good faith discussions between the Parties.
Safety Standard Changes. STRATASYS will *** give notice to HP if any upgrade, substitution or other change to any Product is required to meet applicable safety standards, or other governmental statutes, rules, orders or regulations. All affected Product already purchased by HP may, at HP’s election, be upgraded by STRATASYS or HP, with *** to complete such upgrades. HP STRATASYS *** Confidential treatment requested pursuant to a request for confidential treatment filed with the Securities and Exchange Commission. Omitted portions have been filed separately with the Securities and Exchange Commission.

Supplier will immediately give notice to GEMS-IT if any upgrade, substitution or other change to an OEM Product is required to make that product meet applicable safety standards or other governmental statutes, rules, orders or regulations, even those that are not defined as Engineering Changes in Section 7.1 above. All affected OEM Products already purchased by GEMS-IT may, at GEMS-IT’s election, either be returned to Supplier for upgrade to current revisions or upgraded by Supplier or GEMS-IT in the field pursuant to the procedures outlined in Section 14.6 below.

Supplier will immediately give notice to Philips if any upgrade, substitution or other change to an OEM Product is required to make that product meet applicable safety standards or other governmental statutes, rules, orders or regulations, even those that are not defined as Engineering Changes is Section 7.1 above. All affected OEM Products already purchased by Philips may, at Philips' election, either be returned to Supplier for upgrade to current revisions or upgraded by Philips in the field pursuant to the procedures outlined in Section 10.7 below. If an OEM Product meets applicable safety standards and other governmental requirements at the time of manufacture, Supplier will absorb the costs of any subsequent upgrade; substitution or other required change between the parties. If such discussions render no equitable solution, the parties may either mutually agree to escalate the matter to their respective vice presidents or general managers, as applicable, or in the alternative, divide the costs equally between them.
Safety Standard Changes. IAC shall promptly notify Sonos if, to its knowledge, any upgrade, substitution or other change to any Third Party Component is required to make the Component meet applicable safety standards or other governmental statutes, rules, orders or regulations. Sonos and IAC will discuss the costs of any subsequent upgrade, substitution or other required change in an equitable manner based on good faith discussions between the parties.
Safety Standard Changes. Supplier will provide HP oral notice, to be followed by written notice, or email notice within [***] of Supplier having knowledge of the need for any upgrade, substitution or other change required to make Product meet applicable safety standards or requirements of Applicable Law. HP, in its discretion, may require that all affected Product be reworked or returned to Supplier for upgrade to current revisions or be upgraded by Supplier or HP in the field. If Product met applicable safety standards and requirements of Applicable Law at time of manufacture, HP and Supplier will share the costs of any subsequent upgrade, substitution or other required correction as may be equitable under the circumstances; provided that if mutual agreement on sharing such costs is not reached within [***] of Supplier’s initial notice hereunder, the parties will divide costs equally between them. If Product met applicable safety standards and requirements of Applicable Law at the time of Delivery, HP will bear all costs of any subsequent upgrade, substitution or other required correction.
Safety Standard Changes. In the event that Safety Standard Changes are required to be made to the Products, WISTRON shall implement such Safety Standard Changes as soon as possible, but in no event later than the date required by the regulating agency. WISTRON shall immediately provide XPLORE with written notice of the requirement for such Safety Standard Changes when WISTRON becomes aware of such requirement. Notwithstanding any other provision contained herein, WISTRON shall be responsible for any and all costs and expenses, including, without limitation, materials, labor and XPLORE’S reasonable and direct costs, associated with implementing the Safety Standard Changes for Products in XPLORE’s inventory, in XPLORE’s Resellers’ and Distributors’ inventory and in XPLORE’s End-User install base.
Safety Standard Changes. Oasys shall immediately give notice ----------------------- to Larscom if any change, upgrade, or substitution is required to make the Oasys Products meet applicable safety standards or specifications, excluding any changes which do not affect the Oasys Product's form, fit or function.
