S OW Clause Samples

S OW. Upon termination of an SOW: (i) OT shall cease to perform the affected Services; (ii) OT may immediately invoice and Customer shall immediately invoice for Services that have been received or performed prior to the effective termination date in accordance with Section 7. I. and J. of Appendix A. Standard Terms and Conditions of DIR Contract Number DIR- CPO-4405; and (iii) Customer shall promptly return to OT all OT software.
