Rules and. Regulations. Tenant will comply fully with all requirements of the "Rules and Regulations" (herein so called) of the Building which are contained in attached Exhibit D, provided that, in the event of any conflict between the provisions of this Lease and the Rules and Regulations, the provisions of this Lease will control. Landlord will at all times have the right to change the Rules and Regulations or to promulgate other Rules and Regulations in such reasonable manner as may be deemed advisable for the safety, care, or cleanliness of the Building and Common Areas, and for the preservation of good order therein, all of which Rules and Regulations, changes and amendments will be forwarded to Tenant in writing and will be carried out and observed by Tenant. Tenant further will be responsible for the compliance with such Rules and Regulations by the agents, employees, licensees and invitees of Tenant. Nothing contained in this Lease will be construed to impose upon Landlord any duty or obligation to enforce the Rules and Regulations against any other tenant or any employees or agents of any other tenant, and Landlord will not be liable to Tenant for violation of the Rules and Regulations by any other tenant or such other tenant's employees, agents, invitees or licensees.

Rules and. Regulations: 36. Tenant will and Tenant’s servants, employees, agents, visitors, and licensees shall observe faithfully, and comply fully strictly with all requirements of the "Rules and Regulations" (herein so called) of the Building which are contained in attached Exhibit D, provided that, in the event of any conflict between the provisions of this Lease and the Rules and Regulations, the provisions of this Lease will control. Landlord will at all times have the right to change the Rules and Regulations or to promulgate and such other and further reasonable Rules and Regulations as Owner or Owner’s agents may from time to time adopt provided that same do not increase Tenant’s obligations or reduce Tenant’s rights hereunder. Notice of any additional rules or regulations shall be given in the manner prescribed in Paragraph 28. In case Tenant disputes the reasonableness of any additional Rule or Regulation hereafter made or adopted by Owner or Owner’s agents, the parties hereto agree to submit the question of the reasonableness of such reasonable manner as may Rule or Regulation for decision to the New York County office of the American Arbitration Association, whose determination shall be final and conclusive upon the parties hereto. The right to dispute the reasonableness of any additional Rule or Regulation upon Tenant’s part shall be deemed advisable for waived unless the safetysame shall be asserted by service of a notice, care, or cleanliness of the Building and Common Areas, and for the preservation of good order therein, all of which Rules and Regulations, changes and amendments will be forwarded to Tenant in writing and will be carried out and observed by Tenant. Tenant further will be responsible for upon Owner within thirty (30) days after the compliance with such Rules and Regulations by the agents, employees, licensees and invitees giving of Tenantnotice thereof. Nothing contained in this Lease will lease contained shall be construed to impose upon Landlord Owner any duty or obligation to enforce the Rules and Regulations against or terms, covenants or conditions in any other tenant or any employees or agents of lease, as against any other tenant, provided, however, that Owner shall at all times apply the Rules and Landlord will Regulations in a non-discriminatory manner against all other tenants of the building. Owner shall not be liable to Tenant for violation of the Rules and Regulations by any other tenant or such other tenant's , its servants, employees, agents, invitees visitors or licensees. In the event of any conflict between the provisions of this lease and the Rules and Regulations, the provisions of this lease shall prevail.
