Rule 23. The Litigation is a valid class action certified pursuant to Rule 23 of the Federal Rules of Civil Procedure and each Seller is, and has taken all action necessary to be included as, a member of the Class as defined in the order certifying the Class for purposes of the Litigation and has never attempted to (and shall never) opt out of the Class.
