RTU License. The Owner is hereby granted a perpetual, non-exclusive, non-transferable (except as set forth in subsections 11.4 and 27.4), fully paid-up, multi-site (capability to have deployed Software in any number of sites) right to use license for the Software ("RTU License"), to operate the Products provided in each of the PCS Systems and/or PCS Sub-Systems, as the case may be, and the System as a whole, subject to payment of any license fees in accordance with the terms of this Contract. Except as otherwise provided herein, the Owner is granted no title or ownership rights to the Software. Such rights will remain with the Vendor, its Subcontractors or suppliers, as appropriate. The RTU License granted hereunder includes and is deemed to cover any Affiliate of the Owner to the extent such Affiliate is (i) developing, constructing and/or operating a PCS system and (ii) seeking to access and/or use the Products and Services available on or as a part of the Owner's System.

RTU License. Upon delivery of the Software, but subject to payment of the license fees specified in Exhibit B-5, the Owner is hereby granted a personal, non-exclusive, fully paid-up, multi-site (capability to move Software from site to site on prior notice to Vendor) right to use license for the Software ("RTU License"), to operate the specific Equipment, processor or product line for which the licenses to use the Software are initially granted, or temporarily on any comparable replacement if any such Equipment, processor or product line becomes inoperative. The RTU License grants Owner no right to, and Owner will not, sublicense such Software or modify, decompile, or disassemble Software furnished as object code to generate corresponding source code provided in each of the Systems. Except as provided below, no license is granted to Owner to use the Software outside of the United States. In the event that Owner wishes to use the Software on associated equipment outside of the United States or to transfer Software to an affiliate or third party transferee located outside the United States, Vendor shall not unreasonably withhold its consent to such use or transfer, provided that Vendor or the transferee, as the case may be, enters into an appropriate license agreement with an affiliate of Vendor carrying on business in the territory in which the Software is to be located, on terms substantially similar to the RTU License terms set forth herein, provided, however, that Owner acknowledges and agrees that support and maintenance obligations set forth herein are only applicable for Software resident on Equipment located within the United States. Support and maintenance Services offered by Vendor's affiliates differs in various different territories, and will be subject to the local practices maintained in such territory.

Except as provided below, no license is granted to Owner to use the Software outside of the United States. In the event that Owner wishes to use the Software on associated equipment outside of the United States or to transfer Software to an affiliate or third party transferee located outside the United States, Vendor shall not unreasonably withhold its consent to such use or transfer, provided that Vendor or the transferee, as the case may be, enters into an appropriate license agreement with an affiliate of Vendor carrying on business in the territory in which the Software is to be located, on terms substantially similar to the RTU License terms set forth herein, provided, however, that Owner acknowledges and agrees that support and maintenance obligations set forth herein are only applicable for Software resident on Equipment located within the United States. RTU License. Upon delivery of the Software to Company, but subject to payment of initial license fees, if any, in accordance with this Agreement, such Company is hereby granted a personal, non-exclusive, fully paid-up, non-transferable (except as expressly permitted herein), non-sublicenseable (except that such license shall be sublicenseable among Companies) right to install, perform, display, execute and use a copy of the Software (“RTU License”), to operate and maintain the applicable Equipment and /or with Vendor authorized customer furnished equipment (“CFE”), processor or product line for which the licenses to use the Software are initially granted and specifically designated, or temporarily on any comparable replacement if any such Equipment, processor or product line becomes inoperative (collectively, the “Licensed Equipment”). In addition to the foregoing, the Companies shall have the right to make a reasonable number of copies of the Software for the sole purpose of archival and back-up. Anything to the contrary notwithstanding, the RTU License granted to such Company with respect to firmware only shall be irrevocable, fully paid-up, perpetual (for the life of the Equipment), fully-transferable and sublicensable (including between and among Companies as well as to any third party) in accordance with this Agreement upon Vendor’s receipt of full payment for the item of Equipment associated such firmware; provided such firmware remains resident on such Equipment associated with such firmware.
RTU License. The first sentence of Section 13.5 (Termination and Survival) of the Contract shall be and is hereby amended in its entirety to read as follows: "The rights and obligations of the Owner and Vendor under this Section 13.5 and under the RTU License shall survive the expiration or termination of this Contract, regardless of the cause of termination, provided Owner continues to (i) meet its material non-monetary obligations under the Settlement Agreement dated September 29, 2003, (ii) render all payments due under the Settlement Agreement dated September 29, 2003, and (iii) render all payments (subject to applicable cure periods, if any) on and after the Final Approval Date in accordance with this Contract."
