RTF Limited Guarantee Sample Clauses

RTF Limited Guarantee. Buyer has delivered to the Company a true, accurate and complete copy of a fully executed RTF Limited Guarantee, including all amendments, exhibits, attachments, appendices and schedules thereto as of the date hereof (the “RTF Limited Guarantee”), by the Equity Investor in favor of the Company for the purpose of guaranteeing the due and punctual payment to the Company of the Obligations upon the terms and subject to the conditions set forth therein. The RTF Limited Guarantee is in full force and effect and is a legal, valid, binding and enforceable obligation of the Equity Investor except as enforcement may be limited by the General Enforceability Exceptions.
