Common use of Rounding-Off Clause in Contracts

Rounding-Off. The Administrative Agent may set up appropriate rounding–off mechanisms or otherwise round–off amounts hereunder to the nearest higher or lower amount in whole Dollars, Pounds Sterling, Euros, Australian Dollars or smaller denomination thereof to ensure amounts owing by any party hereunder or that otherwise need to be calculated or converted hereunder are expressed in whole Dollars, whole Pounds Sterling, whole Euros, whole Australian Dollars or in whole smaller denomination thereof, as may be necessary or appropriate.

Rounding-Off. The Administrative Agent may set up appropriate rounding–-off mechanisms or otherwise round–-off amounts hereunder to the nearest higher or lower amount in whole Dollars, English Pounds Sterling, EurosEuro, Australian Dollars Mexican Peso, whole other currency or smaller denomination thereof to ensure amounts owing by any party hereunder or that otherwise need to be calculated or converted hereunder are expressed in whole Dollars, whole English Pounds Sterling, whole EurosEuro, Mexican Peso, whole Australian Dollars other currency or in whole smaller denomination thereof, as may be necessary or appropriate.
