ROI Calculation. If the gross savings realized from the Program over the Measurement Period is less than two times the Program Fee paid by Participating Group for such period, then Caremark shall pay Participating Group (the “Program Guarantee Payment”). Caremark will calculate the gross savings within 180 days of the end of the Measurement Period. The Program Guarantee Payment, if any, shall be paid by Caremark to Participating Group within sixty (60) days after Caremark’s calculation of the gross savings for the previous Measurement Period. Within sixty (60) days after its calculation, Caremark will provide Participating Group with a written report explaining its methodology and conclusions.
