ROC Clause Samples

ROC. The Charter and By-laws of ROC as in effect at the Effective Time shall be the Charter and By-laws of ROC upon consummation of the Merger; provided, that, such Charter shall be amended such that following the Merger, after giving effect thereto, the ownership of ROC Common Stock by Chateau shall not violate the ownership limit described in the ROC Charter.
