RLI. RLI is a corporation duly organized, validly existing and in good standing under the laws of the State of New York. Except as set forth in Schedule 2.1 hereto, RLI is duly qualified or licensed to do business as a foreign corporation in good standing in all jurisdictions in which the character or the location of the assets owned or leased by it or the nature of the Business conducted by it requires qualification or licensing. RLI's failure to be qualified or licensed to do business in any jurisdiction or jurisdictions where such qualification or licensing is required does not and will not have a material adverse effect on RLI or the Business. A list of all jurisdictions where RLI is qualified or licensed to do business is set forth in Schedule 2.1 hereto. RLI has all necessary corporate power and authority to own its properties and assets and to carry on its Business as now conducted. Schedule 2.1 correctly lists the current directors and executive officers of RLI and sets forth an organizational chart with respect to RLI's operations and employees. True, correct and complete copies of the certificate of incorporation and bylaws of RLI as in effect on the date hereof have been delivered to AvTel.
